Job Summary:

We seeking an experienced legal practitioner who is passionate about sustainable, reliable, affordable power to join our US Division as Assistant General Counsel (AGC). The AGC will work closely with, and as part of, ContourGlobal’s collaborative legal team to continue to build a commercially savvy legal function to manage risk and scale the business.

In this role, the AGC will build strong partnerships with our business and specialist colleagues and advise them on origination, acquisitions, development, partnerships, financing, and operations of utility-scale stand-alone storage, hybrid storage, and solar, wind, and natural gas generation projects, as well as general corporate and regulatory matters. Counsel will engage directly with the project development, engineering & construction, mergers & acquisitions, capital markets, commercial contracting, operations, asset management, procurement, and operations teams in their day-to-day functions.

Assistant General Counsel will report to the US Division General Counsel (USGC).

Key Responsibilities:

  • Advise on early-mid stage development of renewable and storage projects to construction, while strategizing risks and opportunities (e.g. interconnection, PILOTs, permits, environmental aspects, real property)
  • Manage and/or support contracts and negotiation for the supply of equipment and goods to clean energy projects, engineering, procurement, and construction (EPC), operation & maintenance (O&M), asset management, etc.
  • Manage and/or support M&A transactions through drafting, preparing mark-ups and negotiating share purchase agreements, shareholders’ agreements, and asset transfer agreements, letters of intent, memorandums of understanding, non-binding and binding offers, and escrow agreements.
  • Manage and/or support financing transactions through reviewing, providing comments and negotiating term sheets, project or financing agreements, security documents and other financing documents.
  • Manage and/or support complex energy-related agreements, through drafting, preparing mark-ups and negotiating power purchase agreements, hedging agreements, route-to-market, RECs sales for the CG US business.
  • Be an integral part of moving transactions forward, through coordinating and managing due diligence activities, revising non-disclosure agreement, engagement letters from advisors, release and reliance letters from advisors, and other ancillary agreements.
  • Provide legal advice to the business on issues related to the interpretation of legal provisions (including in relation to execution, amendment, termination, assignment, waiver, etc.) of contracts and for all matters having legal implications. Proactively engage with business functions and ascertain when legal advice is necessary across all areas. Coordinate internal procedures for the review and approval of documents.
  • Update and improve precedent and form agreements over time, as appropriate
  • Work autonomously to identify, prioritize, and address commercial, regulatory and legislative hurdles across markets
  • Support additional policy priorities in areas relevant to energy storage, renewable power, and evolving business development needs
  • Manage or support dispute resolution matters, as needed, related to CG US business.
  • Coordinate and/or support the USGC in the management of outside counsel.
  • Coordinate and/or support the USGC on any corporate housekeeping or reporting activities to CG management and CG’s stakeholders.

Qualifications and Skills:

  • 7 + years’ post admission experience in a premier law firm and/or an in-house legal department focused on power projects
  • Proven track record with renewable projects development, financing, tax equity, acquisition, procurement, construction, and operations in the US market
  • A strong understanding of inclusion principles and commitment to infusing the rich experiences and perspectives that come from differentiated backgrounds into business innovation and productive decision-making in order to drive growth
  • Law degree with strong academic credentials from a top tier accredited university
  • Bar admission in good standing in any US state, NY or CA preferred.
  • Experience with warranty claims and the lifespan of dispute resolution
  • Regulatory awareness of US power markets (e.g. FERC, NERC, ERCOT, PJM, etc.)
  • Fluency and exceptional writing skills in the English language, Spanish skills a plus
  • Strong organizational skills and ability to manage multiple tasks simultaneously
  • Adeptness at the various software that lawyers and energy companies typically use
  • Keen command of what drives key stakeholder decisions and exceptional communication, persuasion, and negotiation skills in high pressure, complex environments).
