Sr. Legal Ops Manager & Paralegal

Houston/Hybrid

 

Job Summary

As Sr. Legal Ops Manager & Paralegal, you will join our Legal team! In this role, you will report to General Counsel and will have the opportunity to support the design, creation and implementation of an efficient and effective legal function for our stand-alone storage, hybrid storage, and distributed generation solar business. The Sr. Legal Ops Manager & Paralegal will be responsible for designing, managing, and executing processes related to our legal function, and will also advise on general corporate matters including corporate entity structure and management, compliance, and corporate policies. The candidate will engage directly with various internal business units, including business development, investment, asset management, strategy, engineering, and operations teams in their day-to-day functions. Key Responsibilities:

  • Design, create, implement, improve, and run processes and tools that support a growing legal department, overseeing a variety of operations — managing a legal control environment, contract approval and repository technology, managing legal e-billing, and budgeting.
  • Legal entity management of U.S. and international subsidiaries; liaise with Accounting, Tax, Treasury, and other departments to provide documentations related to subsidiary management and respond to audit requests.
  • Negotiate draft and review NDAs based on company template and guidelines.
  • Due diligence for financing, M&A deals, and other corporate transactions, business activities, and special projects.
  • Develop and implement metrics and dashboards of outside counsel expenses, manage project budgets, and provide expense control, collaborating with accounting team (and FP&A, if applicable) to analyze and conduct spending trends.
  • Facilitate contract lifecycle process and day-to-day management, collaborate with IT to simplify tracking, retention, and coordination of execution.
  • Manage and coordinate Board of Directors, Shareholders, and other Committee meeting preparation, retention of secure records and distribution of materials, if required.
  • Create templates or standard forms for recurring agreements.
  • Draft and review vendor agreements, amendments, and other legal documents.
  • Support internal lawyers with legal research, project management, filing, and other ad-hoc assignments as instructed.
  • Support, as needed on litigation, employment/immigration, compliance/regulatory support and legal research needs.
  • Collaborate with and support HR and employment counsel on investigations, coordinating company-wide employee training.
  • Draft and maintain sensitive documents and records with discretion; and
  • Support the internal legal team, as required.

 

 

Qualifications and Skills: 

Your profile is a natural match if you have:

  • Bachelor’s degree from an accredited university required. Advanced degree(s) preferred.
  • 10+ years of experience in paralegal and/or legal operations roles, with increasing responsibility.
  • Experience in designing and managing implementation of legal processes for a new legal department.
  • Experience with power, energy, and/or infrastructure companies and projects.
  • Demonstrated exceptional ability to use industry standard technical programs, including but not limited to excellent Microsoft Office skills, Westlaw and Lexis Nexus legal research programs and contract management software.
  • Strong command of the nexus of accounting and legal compliance.
  • Fluency and exceptional writing skills in the English language, Spanish skills a plus; and
  • Public company reporting and controls experience preferred

  • Adaptable/Flexible - You can easily adjust to new routines, systems, situations, procedures and people.
