Our Legal Specialist at ContourGlobal will report to the Head of Legal Spain and support the legal department delivering outstanding legal advice in different legal areas.
Key Responsibilities:
- Draft, mark-up, and revise contracts (purchase and/or supply of equipment and goods, turnkey contracts, power purchase agreements, consultancy agreements, operation & maintenance (O&M) contracts, employment contracts, etc.) with domestic and international counterparties and other legal documents and provide support in their negotiation.
- Support the Head of Legal in M&A transactions and in all matters of its competence and/or special projects (drafting and negotiating non-disclosure agreement, letters of intent, memorandum of understanding, non-binding, and binding offer, share purchase agreements, shareholders’ agreement, asset transfer agreements, escrow agreement, management of the due diligence activities, etc.).
- Support the Head of Legal in financing transactions.
- Legal counselling on issues related to the interpretation of legal provisions (including in relation to execution, amendment, termination, assignment, waiver, etc.) of contracts and for all matters having legal implications.
- Support in corporate activities (drafting and mark-up of accurate forms, minutes of meetings -board of directors, shareholders’ meeting-, coordination with the Notary, coordination of digital certificates, etc.).
- Support in compliance activities, with a focus on ABAC and data protection matters.
- Proactively engage with business functions and ascertain when legal advice is necessary across all areas. Coordination of internal procedures for the review and approval of documents.
- Support to the Head of Legal in the coordination of external legal advisors (selection, follow-up, invoicing, etc.).

Qualifications and Skills:
- A law degree in Spain (a degree in law and business will be highly valued).
- Between 3- and 5-years working experience either (i) in a top tier national or international law firm with experience in energy & infrastructure sectors, or (ii) national or international companies operating in the energy sector.
- Experience in drafting and negotiating a variety of legal contracts and transactional documents as well as corporate documents (minutes, public deeds, certificates, etc.) with ability to handle responsibility with a minimum of supervision.
- Excellent interpersonal skills and the ability to work under deadline and workload pressures.
- Excellent technical, organizational, written, and verbal communication skills.
- Proofreading and attention to detail skills.
- Ability to prioritize and multi-task and move from one project to another.
- Ability to interface well with other lawyers, clients, and staff of other areas of expertise (management, technicians, engineers, accountants, etc.).
- Fluency in English (both comprehensive, written and oral).
The ideal candidate is a team player who is collaborative, resourceful, flexible and willing to engage in a wide variety of tasks and responsibilities.
In-depth knowledge of administrative law and procedures in the energy sector will be considered as plus.

Travel Requirements – This position will require occasional business trips.
