Job Summary

As Senior Lawyer, you will join our Legal team! In this role, you will report directly to the Assistant General Counsel for the South America Region. In this position, you will be responsible for supporting the Chilean legal department by providing high-quality legal advice across a broad range of legal matters, but with special focus on transactional matters.

Key Responsibilities: 

  • Coordinate, participate and support the Assistant General Counsel South America in M&A transactions. It will be expected that the Senior Lawyer be able to manage the due diligence activities, draft and negotiate non-disclosure agreements, letters of intent, memorandum of understanding, non-binding and binding offers, share purchase agreements, shareholders’ agreements, transition services agreements, asset transfer agreements, escrow agreements, etc. When applicable, draft and negotiate acquisition financing documentation.
  • Support the corporate governance of local subsidiaries, including drafting and reviewing corporate resolutions, powers of attorney, and public deeds; overseeing incorporations, capital increases, and other corporate modifications; and maintaining corporate books and records in compliance with Chilean corporate law.
  • Draft, review, mark-up and negotiate projects and commercial contracts (engineering, procurement and construction contracts (EPC), turnkey contracts, operation and maintenance contracts (O&M), land-lease agreements, purchase and/or supply of equipment and goods, etc.) with domestic and international counterparties.
  • Draft, review, mark-up, and negotiate complex energy-related contracts and agreements, such as power purchase agreements (PPA) and hedging agreements.
  • Provide support in financing transactions, including reviewing, providing comments and negotiating financing agreements, the establishment of collateral and security agreements in favor of lenders, and providing interpretation to the covenants and commitments of project companies included in financing documents.
  • Proactively engage with business functions and ascertain when legal advice is necessary across all areas. Coordinate internal procedures for the review and approval of documents. Support activities such as; prepare accurate forms, minutes of meetings (board meetings, shareholders' meetings, etc.).
  • Provide support in employment, labor, Health and Safety, and compliance matters.
  • Lead, coordinate, manage, and report on ongoing litigation proceedings related to jurisdictions within the South America Region.
  • Provide support in relation to permits and administrative activities. 
  • Coordinate and/or support the Assistant General Counsel South America in the coordination of external legal advisors (selection, follow-up, cost control, invoicing, etc.).
  • Coordinate and/or support the Assistant General Counsel South America on any reporting activities to CG management and CG’s stakeholders (lenders, insurers, minority shareholders, etc.).

 

Qualifications and Skills: 

Your profile is a natural match if you have:

  • Education: Law degree in Chile.
  • Experience: At least 6-7 years of relevant professional experience in either:
    • in a top-tier national or international law firm with experience in energy & infrastructure sectors, or 
    • national or international companies operating in the energy sector.
  • Travel requirements: This role does not require regular travel.
  • Languages: Professional fluency in English is required.

  • Knowledge of the Chilean regulatory framework applicable to the electricity generation industry is required.
  • Experience advising on corporate and governance matters for Chilean entities (sociedades anónimas and SpA´s) is required.
