The Legal Corporate Counsel will be a key member of the corporate legal team, supporting the Group’s governance, contracting activities and corporate, asset level, and acquisition financings and other M&A / extra-ordinary transactions across the portfolio as required.
The Legal Counsel will be responsible for:
- Managing the day-to-day corporate governance and reporting requirements of various Group entities, including the holding companies in Luxembourg
- Preparation, review and negotiations of various contractual arrangements (engagement letters, NDAs, contracts, corporate resolutions, intercompany agreements) across the Group
- Managing internal re-organizations and other ad-hoc internal projects (preparation of step plans, relevant documentation, internal approvals), including by coordinating with local counsel if required
- Support corporate finance and project finance transactions across the portfolio including managing and coordinating input from local counsels and internal stakeholders, support the drafting and reviewing of loan, security and other ancillary arrangements; coordinate lender due diligence processes, transaction execution and closings
- Support the preparation of Board materials for our UK-listed parent company as required
- Support cross-functional project teams including internal and external lawyers and other internal corporate services personnel to ensure project objectives are met; assisting in preparation of project budgets; negotiating fee arrangements with external counsels and managing counsels to fee proposals
- Ensuring compliance with Company’s governance and limits of authority (both management and Board) for related transactions and financings
- Support existing litigations as required
- Other duties as assigned.
This position may require travel an average of 20% of the time.
Candidate Profile
The successful candidate will be an experienced and commercially minded lawyer who has experience working across project teams and ensuring timely execution and closing of fast-paced transactions. The candidate will also be an effective communicator.
- Minimum of 5-6 years’ experience
- Law degree, excellent academic credentials, a member of the bar in good standing
- Experience at a top-tier US, UK or international law firm and preferably also in house in the energy sector
- Excellent oral and written communication
- Attention to details
- Ability to work in a fast-paced environment and manage competing priorities, establish rapport and drive consensus and solutions
- Ability to work laterally with multiple corporate service functional heads and their direct reports
- Experience handling transactional matters and external counsels in a variety of regions including Europe, Africa, Central and South America, and Caribbean
- UK qualification a plus
- Additional language skills (particularly French) a plus
